Terms of Service

1. Acceptance of these Terms

By creating an account, signing in, or using any part of the Landopa website, dashboard, builder, hosting or API (together, the "Service"), you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Cookie Policy, which form part of these Terms.

If you do not agree with any part of these Terms, do not create an account and stop using the Service. If you already have an account and no longer agree, you may close it as described in Section 16.

If you use the Service on behalf of a company or other organization, you confirm that you are authorized to bind that organization to these Terms. In that case "you" means that organization.

2. Definitions

In these Terms:

• "We", "us", "Landopa": HABIFY COMPANY LIMITED, which operates landopa.com, app.landopa.com, api.landopa.com and the landing pages hosted under *.landopa.com.
• "You", "user", "customer": the person or organization that holds a Landopa account.
• "Page" or "landing page": a web page you build with the Service, whether hosted by us, exported, or deployed to a third-party provider.
• "Visitor": anyone who opens one of your Pages.
• "Lead": the data a Visitor submits through a form on one of your Pages.
• "User Content": everything you or your team put into the Service — text, images, media, templates, page structure, form settings, tracking codes, domain names and Leads.
• "Plan": the paid or free tier attached to your account, with the features and quotas described on our pricing page.
• "Credit": the prepaid balance in Vietnamese dong (VND) that users billed in Vietnam top up to pay for Plans and add-ons (Section 7).
• "Habify Hub Accounts": the shared sign-in service, operated by the same company, that Landopa uses to authenticate users.

3. Eligibility and your account

You must be at least 18 years old and have full legal capacity to enter into contracts to open a Landopa account or buy a Plan.

You sign in to Landopa with your Habify Hub Accounts account. Your login credentials, password, two-factor settings and social sign-in links are managed by Habify Hub Accounts under its own terms; Landopa never receives your password. You are responsible for keeping those credentials secure and for all activity under your account, including activity by team members, agency clients or anyone you share access with.

Keep your account information accurate and up to date, and notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by credentials you disclosed or failed to protect.

Creating multiple accounts to obtain repeated free trials, or buying and selling accounts, is not allowed.

4. The Service

Landopa is a software-as-a-service platform for building, publishing and operating landing pages. Depending on your Plan, the Service includes:

• a section-based page builder, templates, and media storage;
• hosting on a landopa.com subdomain or on a custom domain you connect, export of static files, and deployment to third-party providers such as Vercel, Netlify or Surge using your own accounts with them;
• lead-capture forms, with Leads stored in your Google Sheets, in our hosted lead storage, or both, plus notifications and outgoing webhooks to your own systems;
• built-in analytics, A/B testing, and injection of third-party tracking codes you configure (for example Google Analytics, Google Tag Manager or Meta Pixel);
• an AI copywriting assistant;
• agency and white-label features for managing pages on behalf of your clients.

We may add, change or retire features. When a change materially reduces what a paid Plan includes, we will give reasonable advance notice, and the change will not apply to a period you have already paid for.

5. Plans, free trials and quotas

Each Plan has quotas (for example the number of published Pages, hosted Leads per month, AI generations and custom domains). When you reach a quota, the related action is blocked until the next period or until you upgrade. We may apply reasonable fair-use limits to protect the Service for all users.

Some Plans include a free trial. A trial is available once per Plan per user. When the trial ends, the Plan renews as a paid Plan through the payment method of your billing region (Section 6 or Section 7) unless you cancel before the trial ends.

If a paid Plan ends, is cancelled, or cannot be renewed, your account moves to the Free tier. We never delete your data because of a downgrade: Pages above the Free limit are archived (unpublished), custom domains are disconnected, and hosted Leads become read-only until you upgrade again.

6. Payments outside Vietnam — PayPal subscriptions in USD

If your billing country is not Vietnam, Plans are priced and charged in US dollars through PayPal as a recurring subscription (monthly or yearly). You approve the subscription on PayPal; Landopa never receives or stores your card or bank details.

Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your Billing settings or from your PayPal account; cancellation stops future renewals and your Plan stays active until the end of the period already paid for.

When you upgrade from a paid Plan that is still running, the unused value of the current period is converted into extra time before the first charge of the new Plan, as shown in the checkout summary. Amounts already charged are not reduced at PayPal.

Except where the law requires otherwise, payments are non-refundable, including for partially used periods, unused quota, or a downgrade during a period. Prices exclude any taxes, duties or charges that your own country may impose on you, which are your responsibility.

7. Payments in Vietnam — prepaid credit in VND

If your billing country is Vietnam, all prices are in Vietnamese dong (VND) and include value-added tax (VAT). PayPal is not offered for Vietnam billing. You pay by topping up Credit through the payment gateways shown at checkout (such as MoMo, ZaloPay, VNPay or PayOS); Landopa never receives or stores your card, bank or e-wallet login details.

Credit works as follows:

• Credit is a prepaid balance that can only be used to pay for Landopa Plans and add-ons. It cannot be withdrawn, exchanged for cash, transferred to another account, or used for other services.
• Credit is NON-REFUNDABLE, including when you downgrade, cancel, stop using the Service or close your account, except where Vietnamese law requires a refund or where we permanently discontinue the Service (in which case we refund in money the unused Credit you paid for).
• Credit does not expire while your account exists. Credit remaining when your account is permanently deleted is forfeited.
• Your Plan is renewed automatically on its renewal date by deducting the Plan price from your Credit. If your Credit is not enough, we email you before the renewal date so that you can top up.
• If your Credit is still insufficient on the renewal date, the Plan becomes past due and stays usable for a short grace period shown in your Billing settings. If it is still unpaid at the end of the grace period, your account moves to the Free tier as described in Section 5.
• When you upgrade during a period, the unused value of the current Plan is returned to your Credit and the new Plan price is deducted. A downgrade or a change of billing period takes effect at the next renewal.
• You can cancel at any time; the Plan stays active until the end of the period already paid for and is not renewed.

8. Billing country, invoices and taxes

Your billing country decides your currency, your payment methods and whether Credit is used. We suggest it from your connection and you confirm it before your first payment. After your first successful payment it is locked; contact support if it genuinely changes. You must not misstate your billing country to obtain a different price or payment method.

For Vietnam billing, a VAT e-invoice is issued for every Credit top-up in accordance with Vietnamese law on invoices, using the invoice details you enter at checkout. You are responsible for the accuracy of those details (name, tax code, address and email). We save them and fill them in automatically next time; you can change them before each payment. An e-invoice issued with the details you provided can only be corrected in the ways the law allows.

For payments outside Vietnam, we provide a payment receipt in your Billing settings and record the transaction in our accounts as required by Vietnamese law.

We may change Plan prices. Price changes are announced at least 30 days in advance and apply from your next renewal after that date; they never apply to a period you have already paid for or to Credit you have already topped up.

9. Your content and your landing pages

You keep all rights to your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your User Content only as needed to operate, secure, back up and improve the Service, including serving your Pages to Visitors and sending your data to the integrations you enable.

You are solely responsible for your Pages and everything on them, including their accuracy and their compliance with the law that applies to you and to your Visitors — for example laws on advertising, e-commerce, consumer protection, intellectual property and personal data, and any industry-specific licensing. Landopa is a technical tool and does not review, approve or endorse your Pages.

You confirm that you hold all rights and licenses needed for the text, images, fonts, trademarks and other material you upload or publish, and that your Pages identify you (not Landopa) as the business behind the offer when the law requires it.

We may remove, unpublish or restrict access to a Page — without prior notice when urgent — if we reasonably believe it breaks these Terms or the law or harms Visitors, or if a competent authority or a rights holder with a credible claim asks us to. Where reasonable, we will tell you why and give you the chance to fix the problem.

10. Prohibited use

You must not use the Service, or let anyone use your Pages, to:

• break any law of Vietnam or of the country where your Visitors are, or infringe anyone's intellectual property, privacy or other rights;
• run phishing, scams, fake giveaways, pyramid or illegal multi-level schemes, impersonate other people or brands, or collect passwords, card numbers or one-time codes;
• offer prohibited goods or services, unlicensed gambling, betting or lotteries, weapons, drugs, counterfeit goods, or goods and services that require a license you do not hold;
• publish content that is pornographic, sexually exploits minors, incites violence, hatred or discrimination, or is otherwise unlawful under Vietnamese law on information content;
• distribute malware, cryptominers, redirects to malicious sites, or deceptive downloads;
• send spam, or collect personal data without a valid legal basis and the notices the law requires;
• probe, scan, overload, reverse-engineer or bypass the security, quotas or billing of the Service, or use it to attack other systems;
• resell or sublicense the Service except through the agency features we provide for that purpose.

A breach of this section may lead to immediate unpublishing of Pages and suspension or termination of your account without refund of fees or Credit, and we may report serious cases to the competent authorities.

11. Leads and visitor data you collect

When your Pages collect Leads or analytics about Visitors, you decide why and how that personal data is collected. Under the Vietnamese Law on Personal Data Protection and similar laws elsewhere, you are the controller of that data and Landopa processes it on your behalf as your processor. You must:

• have a valid legal basis (such as the Visitor's consent) for every form, tracking code and integration on your Pages;
• show Visitors a privacy notice that identifies you, the purposes of the processing and how they can exercise their rights, and obtain the cookie consent required by the law that applies to your Visitors;
• not collect sensitive personal data, data of children or identity documents through forms unless the law allows it and you have the required safeguards;
• handle requests from Visitors about their data, and ask us for help where needed.

As your processor, we process Lead and Visitor data only to provide the Service according to your settings and instructions; keep it confidential; protect it with appropriate security measures; help you answer data-subject requests; notify you without undue delay of a personal-data breach that affects it; and delete it when you delete it or when your account is deleted (backups are overwritten on their normal cycle). When you connect Google Sheets, Zalo, a deployment provider or a webhook endpoint, the data you send there is governed by your agreement with that provider.

12. Domains, hosting, deployment and third-party services

To use a custom domain you must own or control it and keep its DNS records pointed as instructed. We issue and renew TLS certificates for connected domains, but we are not responsible for domain registration, renewal, or DNS hosted elsewhere.

When you deploy to or connect a third-party service (for example Vercel, Netlify, Surge, Google Sheets, Zalo, Google Analytics, PayPal or a payment gateway), you authorize us to act on your behalf within the access you grant, and your use of that service is governed by its own terms. We store the access tokens you provide in encrypted form and use them only for the features you enabled. We are not responsible for the availability, content, policies or fees of third-party services.

13. AI features

The AI copywriting assistant generates suggestions using third-party large language models. AI output may be inaccurate, generic, similar to output generated for others, or unsuitable for your purpose. Review and edit every suggestion before publishing; you are responsible for what you publish.

Do not enter other people's personal data, confidential information or trade secrets into AI prompts. We send the AI provider only the text needed to produce the suggestion, not your account details.

14. Our intellectual property

The Service — including its software, builder, design system, templates, documentation, trademarks, and the Landopa name and logo — belongs to us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service and our templates to build and publish your own Pages while your account is in good standing.

You may not copy, modify, decompile or resell the Service, create derivative products of it, distribute our templates as a template library, or use the Service to build a competing product. Feedback you give us may be used freely to improve the Service.

15. Availability, backups and exporting your data

We work to keep the Service available and back it up regularly, but we do not guarantee uninterrupted or error-free operation. Planned maintenance is announced in advance when practical.

You are responsible for keeping your own copies of important User Content and Leads. You can export Pages as static files, and export Leads from your dashboard or Google Sheets, at any time while your account is active.

16. Suspension, termination and closing your account

You may stop using the Service at any time. Cancel any active subscription in Billing first. To close your account, delete your Habify Hub Accounts account from its account settings; doing so also withdraws your consent to these Terms and our Privacy Policy.

When a deletion is requested, we immediately sign you out of Landopa and cancel any active subscription. Habify Hub Accounts keeps a restore window (currently 15 days) in which you can change your mind by signing in again. After that window your Landopa account, Pages, forms, media and Leads are permanently deleted, and published Pages stop working. Remaining Credit is forfeited (Section 7). Payment records and invoices are kept, de-identified, for as long as accounting and invoice laws require.

We may suspend or terminate your account, or unpublish Pages, if you breach these Terms or the law, fail to pay, create risk or legal exposure for us, other users or Visitors, or if a competent authority requires it. When a breach is minor and can be fixed, we will notify you first and give you a reasonable time to fix it.

If we discontinue the Service for business reasons, we will give at least 30 days' notice, let you export your data, and refund the unused Credit you paid for.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". To the maximum extent permitted by law, we make no warranties, express or implied, including about merchantability, fitness for a particular purpose or uninterrupted availability, or that the Service, templates or AI output will meet your requirements, rank in search engines, convert Visitors, or comply with the laws that apply to your particular business.

We are not responsible for decisions you make based on analytics, A/B test results or AI suggestions, or for the acts of Visitors and third-party services.

18. Limitation of liability

To the maximum extent permitted by Vietnamese law, we, our managers, employees and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, Leads, data, goodwill or business opportunities, arising from or related to the Service.

Our total liability to you for all claims relating to the Service, whether in contract, tort or otherwise, is limited to the amount you actually paid us in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer-protection rights.

19. Indemnity

You agree to indemnify us and hold us harmless from any third-party claim, penalty, loss and reasonable cost (including legal fees) arising from your Pages, your User Content, the Leads and Visitor data you collect, your use of third-party services through Landopa, or your breach of these Terms or of the law.

20. Changes to these Terms

We may update these Terms to reflect changes to the Service, the law, or how we operate. The date at the top of this page always shows the current version.

For material changes — especially to fees, renewals, Credit or your rights — we will notify you by email or in the dashboard at least 15 days before they take effect (30 days for price changes, see Section 8). If you do not agree, you may cancel before the change takes effect. Continuing to use the Service after that date means you accept the updated Terms.

21. Governing law and disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without prejudice to mandatory consumer-protection rules of the country where you live that cannot be excluded by agreement.

If a dispute arises, please contact us first at [email protected]; we reply within 15 working days and will try in good faith to resolve it through negotiation or mediation. If it is not resolved within 30 days, either party may bring it before the competent People's Court in Ho Chi Minh City, Vietnam.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in full force.
